As Nigerian companies build and deploy more AI-powered products for overseas clients, especially in Europe, a new compliance reality is taking shape. The EU AI Act is already imposing cross-border duties on some non-EU firms, while Nigeria’s proposed Digital Economy and E-Governance Bill signals that domestic oversight of AI may not be far behind.

The two frameworks are not identical– but their overlap is already too important for Nigerian business to ignore1.

For many Nigerian technology firms, regulation has long seemed like something that happens elsewhere – in Brussels, London, or Washington –while local companies focus on product development, outsourcing, scale and market access.That is changing fast.

The European Union’s Artificial Intelligence Act, which entered into force on August 1, 2024, is already reshaping the rules for how AI systems are built, deployed and commercialised, and it can apply even where the provider is located outside Europe. At the same time, Nigeria’s proposed National Digital Economy and E- Governance Bill 2025 suggests that domestic AI governance is also beginning to take a more structured legal form. For Nigerian companies, the message is becoming harder to ignore; AI regulation is no longer just a foreign story.

The reason the EU AI Act matters so much in Nigeria is simple: Geography is no longer the deciding factor. Under the Act’s scope rules, a firm does not need to have an office in France or Germany to fall within the European regulatory net. The Act can apply where an AI system is placed on the EU market, put into service in the EU, or where its output is used in the Union. That “output-based” and “market-location” logic is what gives the EU AI Act its extraterritorial force.

A model built in Lagos, hosted on servers outside Europe, and sold through a Nigerian company may still trigger EU obligations if it is used by a European client or if its outputs affect people or processes inside the EU. That is not a theoretical concern.

Nigerian businesses increasingly provide AI-enabled services to clients abroad: legal technology tools, HR screening systems, fraud detection products, document review software, analytics dashboards, customer support automation, due diligence engines and industry-specific SaaS tools.

A company may think it is simply exporting software, but in practice it may be entering a regulatory environment that classifies AI by risk and attaches duties to both providers and deployers. The EU AI Act is designed around this value-chain logic, meaning that responsibilities can arise across development, deployment and downstream use. For Nigerian companies targeting European markets, the real issue is no longer whether AI law exists, but whether the business has the governance systems needed to meet it.

Where the EU AI Act and Nigeria’s proposed Digital Economy and E-Governance Bill clearly meet is in their shared move toward risk-sensitive AI governance. The EU framework distinguishes between prohibited practices, high-risk systems, transparency duties for some AI systems, and a separate regime for general-purpose AI (GPAI) models. Nigeria’s Bill is not a copy of the EU law, but it points in a similar direction. Section 1 of the Bill identifies the responsible use of AI and other emerging technologies as an express legislative objective, while sections 63, 64 and 65 address principles for AI development, obligations of AI agents and the classification of AI systems. In both frameworks, the underlying policy logic is the same: not every AI system should be treated alike, and regulatory attention should increase as risk and public impact increase.

That convergence matters for Nigerian firms because it means EU compliance should not be dismissed as a strange foreign burden unrelated to local law. If anything, the Nigerian Bill suggests that domestic regulation is moving in the same broad direction: toward formal oversight, classification, accountability and institutional supervision.

The Nigeria Data Protection Act 2023 reinforces that trend by imposing rules on lawful processing, privacy impact assessments, data subject rights, automated decision-making and cross-border transfers of personal data. Together, these developments point to a future in which AI governance for Nigerian firms is shaped by a dual pressure: commercial requirements from abroad and a more structured legal environment at home.

But there are also important points of divergence. The EU AI Act is already an enacted and phased regulatory instrument with a detailed enforcement timeline and a mature institutional design built around a single market of 27 member states. Its obligations are increasingly concrete, especially for high-risk systems and GPAI models.

By contrast, Nigeria’s Digital Economy and E-Governance Bill remains a proposed domestic framework, and many of its operational details will depend on implementation, subsidiary legislation and regulatory practice if and when it comes into force. The EU Act sets out a more developed compliance architecture today; the Nigerian Bill signals direction, powers and intent, but not yet the same level of settled operational detail.

A second divergence lies in enforcement maturity. Under the EU AI Act, obligations are already being phased in: rules on prohibited AI practices began to apply from 2 February 2025, obligations for GPAI models from 2 August 2025, most major obligations from 2 August 2026, with additional requirements extending into 2027.

Penalties can be severe, with fines reaching up to 7% of worldwide annual turnover for certain infringements. Nigeria’s Bill, on the other hand, indicates the machinery of oversight — including sections 66 and 67 on regulatory agency functions and powers, section 68 on enforcement orders, and section 69 on annual system impact assessment reports –but it does not yet have the same publicly confirmed enforcement track record or live commencement status. That does not make it unimportant; it makes it strategic.

Nigerian firms are being given advance notice of the governance direction in which the state is moving.

For business leaders, the practical relevance is immediate. A Nigerian company bidding for European contracts may soon be asked not only what its AI product can do, but how it was trained, tested and governed. Can the firm classify whether the use case is high-risk? Can it show technical documentation, testing records, dataset controls, impact assessments, internal accountability lines and escalation procedures?

Can it explain how human oversight works? In sensitive sectors such as recruitment, education, biometrics, essential services, legal processes or public decision-making, the ability to produce those answers may determine whether a company wins business, retains clients or gains investor confidence. In other words, compliance is becoming part of competitiveness.

This is where many firms may be most vulnerable. Strong engineering talent is not the same as strong compliance architecture. Under the EU model — and increasingly under the direction signalled by Nigeria’s Bill — businesses need more than technical capability. They need system inventories, documentation discipline, model governance, audit trails, incident logging, review mechanisms and board-level awareness of legal exposure.

The Nigerian Bill’s provisions on annual system impact assessment reports and regulatory sandboxes and testbeds suggest that local regulators may also expect firms to move away from ad hoc experimentation and toward accountable deployment. For companies that start early, that work can become a commercial advantage.

For those that wait, it may become a barrier to market access. The most important point, then, is not that the EU AI Act and the Nigerian Bill are the same. They are not. The EU law is broader in immediate effect, more mature in enforcement and already binding within a phased timetable. Nigeria’s Bill is still emerging and will depend heavily on what happens next in legislation and implementation.

But the meeting point between them is unmistakable: both reflect a move toward risk-based oversight, formal accountability and stronger governance for AI systems. For Nigerian companies, that means the smartest response is not to wait for either Brussels or Abuja to force the issue. It is to prepare now.

For Nigerian firms, the relevance of Europe’s AI rules is no longer abstract. If a company sells AI products to EU clients, processes EU-related data, or supplies outputs that feed into European business or legal workflows, the EU AI Act may already matter. And if Nigeria’s proposed Digital Economy and E-Governance Bill is enacted, the domestic environment will move closer to that same logic of classification, documentation, oversight and enforceable accountability.

The divergence between the two regimes is real, but so is the direction of travel. Firms that understand both the overlap and the difference will be better placed to protect contracts, attract international business and compete in a market where trust in AI is fast becoming as valuable as innovation itself.
